Question

If a company Quipt aquired ran afoul of the DOJ is Quipt soley on the hook or does the previous ownership  also get held acountable.
I am assuming that the previous ownership cooked the books when selling to Quipt in this senario .

QIPT will be responsible if there is any wrongdoing.  That is part of due diligence.  There are indemities associated with deals but usally short term (< 12 months) and once expired, offer no recourse.  This is a core part of due diligence in this sector when doing M&A so the onus was on QIPT management.  Unfortunately, the broad shareholder base is paying the legal fees ...more
