CFO Option Exercise July 24 Filing

CFO just exercised huge option pile (500k+) and "disposed by gift".  This was the huge grant they gave themselves back in the day at 7.5 cents (C$1.50 in todays price).  Very interesting.  Why couln't he hold them?  They had a 10 year life...
Now he gets to sell them at his discretion privately....More bad optics that's for sure.

From a tax perspective, I suspect the transfer at a low price significantly reduces the tax bill.  Though not sure how they are taxed if they later appreciate...

Based on the academic research associated with this, insiders tend to do this to minimize taxes as there are some lifetime exemptions available up to a certain level for gifts of shares/options.  So this would minimize how much it utilizes as the gain would effectively be lower at these prices.  That's my read of the situation.  i.e. you transfer when you think shares are very ...more

I think the 75/25 effect were fully in Q1 so i don't see an expanding effect.  The cyber attack was industry wide and seems to be resolving so they should show some improvement.  It may not be fully reflected in June 30 cash balance but CFO should be able to give color on how that has progressed right up until conference call date.
