Paul Hill - background to firing

Meant to add one more item for for Fortuna to try to challenge.

Maybe Brett Kidd is best person to be CEO now.

But they have not known Brett too long. Was Hill shown the door earlier than planned because Hill too raised the types of questions I now raise?

Remember, Hill bought lots of shares and was buying more. Which other director has done that?

If you held as many shares and options as Hill, would you resent the directors being paid 1.275m in 2019 and 1m in 2020?  If you hinted as much to the board, would they fire you?

It is ridiculous to suggest that Hill was replaced because of this. My understanding is that Paul understood all along that his role would be temporary. He's not a true ITS expert. His role, if I understand correctly, was to make acquisitions that would reposition the company as predominantly in ITS. To some degree the way Quarterhill's ITS expansion happened, and somewhat ironically ...more

mrm is right.  in fact, didn't gillberry say that qtrh was aware of kidd from 2 or 3 years earlier and that they were very impressed with him at the time?  so, when etc was available and kidd was running the show, it was a huge positive.  hill was a time limited ceo.  once the pure play its decision was made, hill became redundant.  i liked hill, but he was not the ...more

Not sure Hill knew that all along. If he was a temporary CEO, why give him and the CFO all those options up front? When Hill was hired I think the overall strategy still included software. Hill changed that and made the new focus ITS.  The point is the directors have not had a clear vision, and most have been around far, far too long, and the results have not been acceptable. $2.23 per share ...more

And if his job was temporary, why did they contract to pay him a $2 million severance package after little more than two years on the job.

Here is the contract for Paul Hill.  This is not a contract for a rental CEO.  He made out like a bandit.  Shareholders?  Not so much.  The total payment was just over $3 million as he received - $1 million lump sum - $300K bonus for 2021  - $1 million from 1.4 million options that immediately vested on date of termination. - $750k from RSUs that immediately ...more
