Moving to the next stage

Disappointing price for Wilan but it's still good that it's done. What really matters is getting to quarterly reports that are consistently profitable. The Wilan sale gets things closer to that point.

If the ITS business clicks--and it's looking like that's happening--the price achieved for Wilan will seem of little consequence looking back a year from now.

The balance sheet is important for sure. But the market tends to care much more about the income statement.

At some point, the BoD had to assess if the price was going to get better and how long it might take for a better price to mature; to a great extent that has been recognized in the $48M now and $35M-$40M additional in possible earn-outs.  That needed to be balanced against the opportunity cost on acquisitions delayed, resolution of the debt covenants and the attractiveness of a pure-play ITS ...more
