D. Consolidation of the Common Shares At the Meeting, the Shareholders will be asked to consider and, if deemed advisable, pass a special resolution (the “Share Consolidation Resolution”) authorizing a consolidation of the Corporation’s common shares on the basis of up to two (2) pre-consolidation common shares for each one post-consolidation common share (the “Share Consolidation”). Approval of the Share Consolidation Resolution does not necessarily mean that the Board will implement the Consolidation. Even if the Share Consolidation Resolution is approved by shareholders at the Meeting, and accepted by the TSX, the Board will have the discretion not to proceed with the Consolidation.

Why 2:1 and not more?   They must have a specific reason to need this come the summer or fall. Again it's up to the board and they can't do more than 2:1. Is the plan to go US OTC and at $2 do a 2:1 for nasdaq. Or are they expecting a SP of $2 soon and than straight to nasdaq     A 2:1 doesn't give them room for financing that they don't have now   So it ...more

So they are going to add 12 million shares to pay of Care and then consolidate again?  Granted Care gets their shares over time. If they had not bumbled the rollout they could do a 2:1 now and be able to go NAS. Will they do this so Care's value of shares are in line to where they were before the SP cratered?  doubtful what would be the point GAP girl is going to love this news ...more

They aren't about to just do a 2:1 right now.  They don't need it for financing so what's the point. And as for the Care deal.  I expect the consolidation would be done at $2 or higher to get to $4 and uplist.  At $2 I would think Care would be quite happy with their share deal.  If they don't get to $2 the board won't do it.  They had an 8:1 years ...more

Its all fine and dandy and I really hope that in the next yr the 2 for 1 splitt will have the SP high enough to trade on the Nazdaq. But this was the same story for doing an 8 to 1 reverse split. so that went from 9 cents to 72.. Where are we now??? All talk. no action. that's what needs to change

The special resolution also authorizes the Board to elect not to proceed with, and abandon, the Share Consolidation at any time if it determines, in its sole discretion, to do so. The 8:1 was planned for the Nasdaq but I think they got talked into by the institutional investors and analysts looking to move the share price over $1 to encourage buying.   As it turned out we still don't have the exposure to the US market as Jack Lifton just mentioned in the interview with Tripp. Had they moved to a US exchange first , increased marketing and partnered with the ...more

That's exactly what happened to attract financing. 2-1 at $2 is a no brainer and a necessary contingency they don't have to use.
