Excellent

Just when years of patience seems like it is going to start paying off... the share price was going to continue an upward trend for weeks/months! They gave it three days before smothering the momentum (once again) and my faith in this company. Wish i had never heard of f***** therf.. my money being trapped in this investment has literally changed the course of my life over the past years. But even through the pain of watching it diminish in value for months on end, I kept faith that management was sound and mostly honest, with everyones best interests in mind. I stayed optomistic the entire time, and focused on the great opportunities the future held for the company and us shareholders. Now, I feel like a f***** fool. This deal really feels like some insider B.S. Where some people close to the company are making off like bandits at our expense.

Anyone, please feel free to give me a good reason to not dump this at the next decent opportunity (almost definitely at a significant loss, after having half of my capital tied up for 4 years during a bull market) I am 30 years old and this was my first big investment. I had done well day trading but I invested in theratechnologies as a long term investment in a company I believed in. And now, for me, the belief is out the window.

I should have bought land and built a home. I had the money to do it. Maybe I am overracting, but this deal just smells like corrupt bullsh***. Wish I could take back my money and the last 4 years of my life.

Go f*** yourselves Theratechnologies.

Sincerely, Stephen

I feel for Stephen as all you guys who are also long term holder. We have sat by watching this crappy mangement team do nothing except waste our time with promises and not excuting. Now they have the audacity to dilute us by NOT 5, 10 or 15% but 30%!!! ARE YOU SERIOUS? 30% DILUTION?!  My hope is that after the dust settles, they will actaully use this money to increase the SP. I am okay with ...more

Let me try to help - the dilution initially is around 21% if the overallotment option is taken up. If all the warrants were to convert,  you are looking at 32% dilution but that additional dilution likely will not happen for three years as there is normally no reason to convert a warrant early. And history has shown that some warrants never get converted because people lose track that they ...more

It would be nice if these guys could explain how it is a good deal. They should put on their big boy pants and either a) explain clearly and methodically why this is a wise business deal right at this moment or b) just admit they botched it.  They owe that much to many of us long term shareholders. Absence of a clear logical explanation (which appears a little difficult to find without ...more

Through the 19th offering period they won't be able to speak publicly.  They are likely doing some investor calls today and maybe tomorrow if the bankers have gotten any requests for them. Each analyst may have a few slots if they are trying to get in some smaller clients.  So we won't hear anything official until post the deal close and at that it is likely there won't be ...more

Ive always said this is the most incompetant company, Ive ever owned and they prove it once again.  Makes me puke, going back to where it was and its sitting there for years to come, its 30%  dilution. I agree with you Steve, Im in the same boat same time aswell,  hate these morons, and our money will never be recovered.

I wouldn't be too much worried about overallotment, with the daily volume coming back down it will be to risky to sell those long or short for a illiquid stock.

Doing a deal now may have been motivated by the fear of missing out on the bubble. Every body and their brother can get lots of money right now and if they let the bubble burst before getting their share of it, they likely would have been deeply upset by their inaction. When bitcoin plunged 20% yesterday, they may have thought the top was in.  Doing this particulalr deal, however, is ...more

If these dumb***** use Bitcoin as their Barometer for the market then they really are as dumb as we think. At this point I wouldn't doubt it based on some of their decision making.
Comment by jfm1330 on Jan 12, 2021 5:41pm
Thera ended up with this deal for two reasons. First, a track record of relative failures or call them underachievments. Second, given the first reason, they decided to make this deal thinking about risk management. Now they can survive a general market crash and they can survive bad results in oncology, which results will come before NASH results. On the other hand, management and board are ...more

Thanks JFM, always enjoy the insight.  I think many on this board including SPCEO are confusing TH for Berkshire Hatahway or some other massive conglomerate with significant earnings. When you are Biotech, you get diluted. Why is that so hard to swallow?  The only thing that comes to mind is most don't have the funds to increase their position by 32% today. Last week they praise ...more

C'mon man! You are setting up a bunch of arguments that are not actually being made.  I have pointed out already that 10-15% dilution is what I thought was likely but we got 30%. Everyone hear knows TH is not Berkshire Hathaway but it is not like they were dead broke either. Of course there are benefits now they have secured enough funds to pay themselves six figures and maximum bonuses indefinitely.
Comment by 1998novl on Jan 12, 2021 7:46pm
Warren Buffett would have never invested in this company so there is now way he would have to make that decision. And that's the POINT! So you are perplexed and rattled by an extra 15-17% dilution! I have seen this story so many times play out over my career, but there is always one thing in common - small cap businesses with high beta. I totally think you are seeing this wrong. Let's not forget one thing. I am sure there was no financing deal available to Thera when it was at 14$, maybe not even a deal at 7$. This why they went with the convertible back then, because they thought that Trogarzo would be a success and that they would do a financing at a better price later. The same applies now. It is not because the stock would have been higher, let's say 6$, that ...more

Listen my problem is not solely this offering as I said before my issue is how they've conducted their business in the past and keep doing the same mistakes. That's a fair comment. But this is exactly why JFM says their past is haunting them and if it were a newco, the equity value would be much greater. I do agree with that. I think there is a lot of resentment here and as much as things have changed (maybe not as much as some want) - a lot of posters here have their blood boiling over things of the past. Let it go! Jfm talks about failure, but really they just had their biggest win ever, securing a NASH Ph3. That would be huge news for any biotech/pharma. And then they sold it short. Maybe they were convinced by a year of making no headway with the markets that this was the best they could achieve idk.

Increased sales when pandemic is at all time high, preparing two protocols for both oncology and NASH phase 3 for a small company like THTX is clear success imo. The problem is after all that good work instead of going out and spreading the news and making sure  the valuation keep rising they panicked and got taken advantage of by crooked small town brokers and got rushed to an awful deal ...more

Sorry. Thera never achieved clear success. They burned hundreds of millions since 1994, and made only very modest profits in a few quarters. Turn it the way you want, the greatest achievment of the company is to still be alive 26 years after its foundation with only now 90 M shares outstanding. It is still alive because of one scientific success, that ended up in a commercial failure because of an ...more

Promotion of the stock is the big thing here for a while now. They hired an IR person, they hired a new CEO who worked in the US for a long time. Forget the big pharma background, I am sure that Levesque was connected enough in the US to understand how Thera was seen there and to know what was possible in the next year. The issue with dilution is not the initial 16% decline the issue is these equities will be handed to bunch of uninformed folks who would offload for a small profit so millions of shares in the next few months has to be absorbed by the market with low daily average, putting a cap on SP, meaning the valuation will stall for a while maybe well after the initial reading of the oncology platform in ...more

I will say it again. I don't like the deal, I was not expecting it two days after the news, so I understand the frustrations. That being said, I don't think management and board are fools. Like I wrote over and over, there is no money to be made for long term investors in this company. Theratechnologies management will always outmaneuver shareholders to prioritize their high salaries.
