The deal with Pentwater - what about OSC and SEC regulations

Looks like they made a deal with some of the big minority holders at the expense of the rest of the minority holders. My understanding is that this is against OSC and SEC regulations.


 registering a complaint with the OSC is easy enough.

 IMO - worth the effort as it may get someones nose pointing in the right direction! What Rio Tinto is doing is IMO criminal!!!

And while you are at it, if you were in favour of the $43 ... and gave those bandits your YES proxy, REVOKE IT and vote NO.  Seriously, Rio will come crawling back with another bumped offer if this little piece of larceny won't fly.  Two tier payouts are unethical and run contrary to any concept of fair treatment of the minority ... and TRQ's BofD were most accomodating in ...more

I guess I'll have to go the route Marpin has SHARED. I have spoken with Nesbitt-Burns twice now n have been told TRQ must acknowledge that the shares they hold intrust for my wife n I NEED TO BE DISSENTED BY US. Now without a phone number or an email address to contact TRQ BMO Nesbitt-Burns suggests we will need a lawyer to act on our behalf; all this to take place by noon Nov.7th!!!  SO ...more

I have engaged a law firm who are now all over this.  They will outline my options for filing a Dissent Notice and will proceed on my behalf if so instructed.  I can confidently say that filing a complaint with the OSC will greatly help our cause.  It takes minutes to complete and I urge every minority holder against the deal to do so.  The OSC is sympathetic to "the ...more

Yes, the link to the OSC portal is flawed.  Just Google "OSC complaint" and proceed from there.  As I said, minutes to complete and greatly helps our cause.

The other problem is that with the time line given by Tinto, others that have tried to file for dissent have been told that it would be highly unlikely that the paper work could be filed on time. A highly un ethical if not illegal move by Tinto IMO. IMO Any one that votes no should be automatically included in the dissent proceedingsand Tinto should have to officially notify them and give them a ...more

Unkal, the exact problem you are having is shared by many others - that is that by adjourning the meeting and then changing the fundamental voting background with a side deal, procedurally the prior proxy circular notice from TRQ is missing some highly relevant facts, and the time to consider and arrange a dissent notice is inadequate and unreasonable.
