A Breakup Fee, also referred to as a termination fee, is a penalty that is paid in mergers and acquisitions transactions if the seller backs out of the deal. The fee serves to compensate the purchaser for the time and resources spent in negotiating the deal. Of course the devil is in the details.

Robertlaw them why are both stocks trading like absolute junk... if this was a done deal wouldnt they both be on a runaway with huge swaths of buying taking place ?

We weren't necessarily on fire before the deal was announced either. I suppose if almost every individual investor votes no then it will get nixed. But at least 75% would need to vote no. That's a lot. Its a sham though. The board of VII is hanging us out to dry. Hey maybe there's a chance...

Robertlaw the question I have is at the current commodity pricing we should be at 13-15$ a share allready... is it poasible that if this deal goes south that we will see that in short order with a big share price appreciation

I hope so regardless. Vii would be better off on its own. A true free cash flow machine with higher oil prices.

After this, IPL and others, my rule of thumb now is I only invest in Canadian companies that are either a) US listed or b) significant insider ownership. Otherwise, I'll be at the mercy of Bay Street's old boys network.
