To get a new U.S. institutional investor.
Wouldn't it be better to make these people buy existing shaes in the marketplace and move the stock price up?

They need cash and open market purchases will generate zero cash. But I also think this was disingenuous considering the fact that insiders were buying this at $2 just last month. One can only hope the new institutional investor liked what they saw. Overall, the dilution isn't so bad except that some investors are deep under water on this.

Does anyone from management know how not to destroy shareholder value. One poster here said he bought in at $10 when and if he will ever recover his investment. I feel his pain. The management does not care as long as they are getting paid by diluting shareholder value.  How do we get rid of this mangement.

true. But is a 16% drop warranted? Offering was roughly 1% below yesterday's closing price.

Is the 16% drop warranted?  Probably not. What would you pay for a company that consistently fails to deliver? If the next quaterly results were going to be good probably management would have waited to do a equity raise at a higher price.. Since they did it now tells me the results are not good. I would not be surprised to see it hit a new low. Just my take being a frustrated investor who ...more

There's a LONG LONG pattern of dilution that outpaces  revenue gains ( without profitability) that  caused me to sell a few years ago .. I just have a hard time seeing it happening STILL. A poster called italiano wrote many posts on thie company. Fool me once , fool me twice ( shame on me) ; my advice is just don't be tempted by the company if you don't own  ( management ...more

This reasoning makes sense based on their history of non-performance. We also have to look forward, taking into account their recent acquisitions, courts reopening and some of the new verticals they've gained access to. So one also has to ask why they were buying on the open market since they have an idea what the results would be like. And they also announced a private placement; not a ...more

Remember they did a direct offering with the help of the same institution last year at $4.25 US. If the business is looking good why not wait for the share price to increase and it would be less dilution..

Yea. They used like half of the proceeds from that offering to acquire Auscript. Then they repaid $4.2m in high interest debt. I expect they're still incurring integration expenses and would be burning cash but we can see that the cash burn isn't so bad ($893k for the mrq). Labor is also expensive and they need transcriptionists to meet customer needs. So even if they're ...more

Insiders have been significant buyers recently at far higher prices than present. Maybe they wanted cash as insurance against the new COVID wave hitting Australia and for potential acquisitions.

 "destroy shareholder value" - This describes it best. I have had a deep dive into the company and there really is a good story and business here. But not with this team of leaders and the way they apply corporate finance. This management team and BoDs seemed " NOT UP TO THE JOB " ???? : M/C $35MIL CAN , F/D 34 mil shares , Sale $65 mil CAN this year , margin 48% . I felt TIRED with this management team too - Vote them out ! Count on me too.
