Response from Sandeep

Hello, thanks for your note.

Dilution is rarely popular and it’s not something we undertook lightly, but I do think this last financing was in the company / shareholder’s best interest. We have a long runway in front of us without needing capital, we have grown the tent of shareholders, added new large institutions who hopefully have built starter positions that they can continue to grow in the market, and are in the process of building a much larger pool of analyst following.

Ray and Rob are excellent board candidates, we are lucky to have them join Western. They, and the entire board know that everyone would like to see the board’s ownership grow and it was nice to see a couple participate in the last financing. I do expect our board ownership to grow in the near to medium term.

As you mention, I am a large shareholder, I believe in the project, and that the company can be a lot more valuable. I hope this helps and provides confidence in your investment.

When Sandeep says, " do think this last financing was in the company / shareholder’s best interest." He's looking at the big picture going forword, WRN needing funding when Rio first came in,, DD 24 mo then a decision on a buyout. Just enought money but not enough to finish WRN cash needs. After 30mo no need for buyout of WRN,, new offer, "a bit more money for another 18mo ...more

It's worthwhile to keep in mind exactly what is going on between WRN and Rio Tinto. There is no deadline, and there is no buyout decision from RIO due at any date. There IS a shareholder's rights agreement that gives RIO certain rights that other shareholders do not have, and it gives them certain privileges as well. That agreement has an expiration date, and upon expiration, those rights ...more

CopperAndGold When you say, "The leash that RIO supposedly has around WRN simply doesn't exist." That's your opinion ! The market knows the "Gorilla Rio" has this all BUT "sewed up" for now !  We will see what Sandeep can do when Rio's rights expire  ! Next steps will be different ! M2 M2

It's funny because your idea/opinion that Rio has a "stranglehold" falls into this same line of thought. Just saying the irony is funny.

WESTERN COPPER AND GOLD ANNOUNCES FURTHER INVESTMENT AND ENTRY INTO A NEW INVESTOR RIGHTS AGREEMENT WITH RIO TINTO Nov 28, 2023 - News Release   Rio Tinto has agreed to subscribe for and purchase 3,468,208 common shares at a price of C$1.73 per share for aggregate gross proceeds of approximately C$6 million, resulting in Rio Tinto’s ownership increasing to approximately 9.7% of Western ...more

This is why I said there is no stranglehold. 9.7% is nowhere near a stranglehold. Rio being there this long doesn't deter other CA to come in. If anything it makes them curious because Rio has yet to leave and others have come aboard(MMC). I think things will get interesting once this last deal with Rio plays out of June 12th, 2025. Just a hurry up and wait scenario. I do empathize with those ...more
