Unsure? Think of it this way:

Generally, officers  are either intelligent or stupid, and lazy or energetic.

Intelligent and energetic is obviously the best.

Intelligent and lazy is a good delegator.

Stupid and lazy will let the smart and energetic underlings take charge.

The only combination you really DON'T want is stupid and energetic.

Don't forget independent , neutral and with a focus on the rights and best interests of individual shareholders. As opposed to a representative of only the bigger shareholders.
