There loi locks up an exclusivity period until Aug. 5.   If they exorcize, then I imagine sh have to vote.
At that time other corps could substantially up the bid.

Can we get clarification on whether the shareholders vote on a buyout or whether the board acts on behalf of shareholders & thus sh don't get a vote?

Dude, read the press release. The answer is there, and it has more credible information than what you will find on the bulletin boards.

No needs for shareholder to vote, management have full power to accept a take over bid and also have the Eric Sprott voting agreement. See the related news bellow;   May 16, 2013                                     ...more

But the press release states:If a Definitive Agreement is executed, the Company expects that it will be required to hold a special meeting (the "Special Meeting") of the Company's shareholders to approve the Proposed Transaction.
