Cardston, Alberta--(Newsfile Corp. - October 2, 2024) - American Creek Resources Ltd. (TSXV: AMK) (OTCQB: ACKRF) (the "Company" or "American Creek") announces that it has received the $300,000 cash signing fee payment from Cunningham Mining Ltd. ("CML"), as required by the definitive arrangement agreement dated September 5, 2024 between the Company and CML, the details of which are set out in the Company's news release of September 6, 2024.

The parties are currently working on documentation for the Company's upcoming annual general and special meeting at which, amongst other things, shareholders will be asked to approve the statutory plan of arrangement with CML. The Company will provide further details regarding the meeting once they are finalized.

Why walk away with a given 16 million when you can stay the course and more than triple your money NOW.  So why not wait for the future of it all, GOLD is going UP, Ken keeps giving us wounderful results with a LOT,not LoO to be happy for!  Perhaps E. Fairdinken, That is why Im in knee deep on TUO and also some TUD.  AMK inflated due to the rumper flumper imho.........................A 0.1% "deposit", finally, after months of this saga does not change my view.

I have been pondering how I feel, once again , about this with the morning news. There are good guys here (no not the trolls / bashers and village idiot) with a variety of opinions that I respect. Those that are fine with the "good" return on investment  that will come from Cunningham. And those that hope(ed) this would fall through. And IF this goes through we would get our money ...more

If TUD can push forth & demonstrate it's value in next two months, then perhaps a no vote makes sense to me. If AMK on a relative basis at 43 CAN is still overvalued to TUD price, then I think it's take my money & run.--put proceeds in TUD, TUO, SILJ and/or a new Mustang...

Why? it seems our management is willing to sell us out for 0.43. Cunningham would be stupid to offer more if there are no competing offers.

i'm voting NO as well. I feel this deal complicates the whole project when a major wants to buy the whole thing out. For example, would Newmont  want to buy all of Cunningham's tokens? Would Cunningham liquidate all the tokens when Newmont makes an offer? Would Newmont be happy with 80% instead of 100%? I'm ready to jump ship to TUD if/when this goes through. Whoops, fat fingered that last post...  Just saying people here can debate a yes vs no vote and give valid points that are FULLY respectable and correct in their own ways. But I agree completely - my vote is a no. Strictly because we are SO close to a PEA that the ceo is speaking about. If the PEA was not in sight it would be a yes likely. I totally get why someone would vote no....I was in that camp myself not long ago...since then I've accumulated a TUD position and that is the only reason why I am for it...if I only held AMK as before I would feel differently... And if the vote doesn't pass I am fully supportive of that decision and think it will be better for all shareholders in the long run...I want to have my cake and ...more

This  so called deal looks like the set up of a bank robbery as you stated our PEA is in site and the drilling cash is at the ready and we are just blindly told to put your hands UP,,,,,, not on my watch,,!  This is "IMO" a great detrimental loss to all shareholders of AMK and as stated by previous poster that the merger of the afore deal will be far more complicated for TUDOR ...more

Basically because these markets are c rap. The majors know it, we know it so deposits are going to get stolen at very low prices for the actual in ground resources. I'd hoped with Gold and Silver rising that this sector would pick up but volumes remain low. So these guys will put their masks on and literally hold shareholders up knowing for the most part they can get away with it, so unless ...more

But a better deal will no come until after a PEA, and the Cunningham deal messes this up. It will hamper both TUD and TUO. IMO

While that may be, I believe there is more going on than what we see...Sean Pownall of Cunningham was on the BOD of both TUD and AMK....he continues to do the drilling on the treaty creek property....I belive that something will get worked out and that this transaction will not hold the project back.

JS my thought with this is that a vote NO is nothing to lose (it goes through at .43) and something to gain (it fails to an enevitable larger gain in a short time). But yes, I agree, the turmoil of this early takeout has been greatly lessened by, like yourself, a built up current position in TUD. But I have to go back at still fight for what I think is "right" for what AMK is worth if ...more

I 100% agree with you (and everyone else) in saying that this is a steal by Cunningham...we are all in different stages and situations in life and I feel that for myself a deal right now works best even if it's not the ideal scenario..... But will I be broken hearted if it gets shot down? Nope!

JS, What do you think is Sean's interest in being involved? How do you think he will be compensated. I dont know the answer.  What I do know is the Nugget TRap white paper states 900 millioin tokens were given to Cunningham (800 millioin ot CML and 100 millon to HNRC).  The paper further states many of those tokens will be givent to consultant, employees, service providers etc.... ...more

Hey Larry, you seem to have difficulties understanding some financial basic here.  Cunningham have their financing secured by GEM, Gem has the money and not Cunningham for now, GEM are the one financing the deal, their financing is guaranty by the asset that Cunningham will buy and own which is that 20% of Treaty Creek.  Cunningham will refund their financing to Gem by issuing Gold Token ...more

I agree, I dont think they will sell one token until the vote has passed. Then, if it passes, the tokens will be available. They cant sell what isnt theirs yet.

Goldigger, Cunninghsam is already offering 100 millioin tokens @ $0.60/token per the 09/019 NR announcing it.  How many have they sold?  They claim it is backed by the Nugget Trap placer claims.... As well, they state they will only seek a listing once they have sold $60 million.  How close are they to doing that? They cannot even sell 1 tokent to GEM at a dsocunt to market until ...more

Yes, as they stated, this first tranche of tokens ($60 million) is backed solely by their nugget trap placer claim....The remaining tikens would be backed by the acquisition of AMK.

9lives, fully agree.  cunninghsam should be buying all they can up to 43 cents in the market................but to date guess what they have bought???  0 shares???? They should also close on the token offering asap so they can buy in amk in the market at a 40% discount, but they have NOT.  I guess its hard to close a token offering with no subsctipitons????

Robuzkin, I think you misunderstand the GEM facility! The way GEM token subscription facilities have worked is that you can sell GEM tokens at a set discount to market.  Amounts you can sell are based on token market cap and liquidity.  Take a look at all their deals.  If/when they do fund, it has always been in small tranches..............and aggregate amount are almost always a ...more
