ARHT MEDIA SHORT FORM PROSPECTUS FILING

According to SEDAR ARHT has intention to file short form prospectus - which is in line with graduations to a better exchange. First the AIF, now this.

Notice Declaring Intention Subsection 2.8(1) of NI 44-101 provides that an issuer is not qualified to file a short form prospectus under Part 2 of NI 44-101 unless it has filed, with its notice regulator, a notice declaring its intention to be qualified to file a short form prospectus under NI 44-101. This notice must be filed in substantially the form of Appendix A of NI 44-101 at least 10 ...more

Introduction and Purpose National Instrument 44-101 Short Form Prospectus Distributions (“NI 44-101”) sets out the substantive tests for an issuer to qualify to file a prospectus in the form of a short form prospectus. The purpose of NI 44-101 is to shorten the time period in which, and streamline the procedures by which, qualified issuers and their selling securityholders can obtain access to the ...more

Interesting. 44-101 is used for more than one purpose. Most prevalent and most likely for art is probably a "bought deal". That would be your institutional buyer like Kim but it also won't be at the current market price or a premium. The institutional buyers will be screaming for a big discount. Think 25 cents. OR, and this is interesting, 44-101 can be used to file a reverse ...more

Better not be a fk PE firm dinking around my Arht.

Don't see it as a bought deal. See it as Kim acting as an advisor / activist with skin already in the game. Uplisting to get better market exposure via institutional eyes is how I see it.

If it was a reverse take over the stock wouldn't be doing so hot lately. Although. That would explain the volume. But the volume has been spread out through multiple brokers.

Ouuuuuu. Perhaps a seasoned issue - uplist, and issue additional shares to raise capital for their expansion.

What pizzas me off about bought deals is the institutional guys get a road show, sales pitch, and marketing materials with glowing forecasts. We, the current shareholders, get NOTHING. And it's against the rules to share that same info with the public. The marketing of bought deals are purposely kept top secret by the securities commission. Which is clearly contrary to the concepts or ...more

Best case scenario here is a seasoned offering via uplisting to the TSX at a $$$ amount much higher than what it's currently trading at. You need to think in terms of sell side now. These IBs guys need to underwrite the offer or do direct. If they underwrite the offer, it will be a bought deal and then it's up to the IBs to sell this hot cake in today's environment which will be ...more

It could be HUGE. But it should at least be "material". Begs the question why wasn't this filing press released? Or tweeted. Or snap chatted. Or mentioned on their website. If they don't use this as an opportunity to showcase their technology to all the institutional investors, hnw investors, etc I will be greatly disappointed and will question whether their technology is still a ...more

Agreed. Raise with an uplisting a sweetner. Just a raise at this level. Timber!

So far so good, but they need to get this sp at venture times above lets say 1$ if they would like to raise 10mio on the new exchange. If they would like to raise 10mio at current level, massive dilution. If they dont get the sp on venture up before uplisting the consequence could be a reverse split, also bad effect for us long term collectors....or is there something i have overseen? Clearly long ...more
