LAst PR vs Phantom shares

I'm frustrated with my unability to reconciliate the numbers from the last PR with any numbers from the Annual balance sheet.  I understand the PR refers to a period endng  May 1st, but in any case, I'm unable to understand where are the 40M block listed shares are coming from.  I was convinced that chart was about the Phantom shares but again, unreconciliable!
From the Dec 31st balance sheet, Note 13, c.:
(c) Phantom shares: During 2020, the Company adopted a phantom share program for compensation of its Directors and executives and granted 13,000,000 phantom common shares of the Company which are vested immediately at CAD $0.00 per share. During 2021, the Company recognized $259,527 as share-based compensation expense and a total $1,761,667 were used entirely as part of management’s subscription of shares issued in the AIM financing (see Common Shares section). (d) Phantom stock options: During 2020, the Company adopted a phantom stock option program for compensation of its executives and granted 1,681,000 phantom stock options of the Company which are vested in equal parts over the three following years after granted. During 2021, the Company recognized $34,450 as share-based compensation expense and a total $151,290 were used entirely as part of management’s subscription of shares issued in the AIM financing (see Common Shares section).
Can someone help?  Not that it matters so much but I'd like to better understand.
