Why vote no?
Management has no skin in the game, so it's easy for them to set the finance at approximately half of the most recently traded SP. They are, basically, asking existing shareholders to take a 50% hit, minimum, with this deal.
IMO, a sign of good faith would be to raise the price of the finance -- I mean, even a 10-20% discount to market prices would be somewhat reasonable -- We know they won't consider any re-price unless we force their hand, which is why I'll be voting "no."
