Boron One Holdings Inc > Osmose Ltd....

Osmose Ltd....

What a strange company!?!
The nature of their business is listed as:

  • 82990 - Other business support service activities not elsewhere classified
  • 90030 - Artistic creation
  • 90040 - Operation of arts facilities
  • (https://find-and-update.company-information.service.gov.uk/company/03530632).
  • Husband and wife own the majority of the shares:
  • The husband, John William Cutts lists his occupation as "banker" and he's is on the BOD of 9 active companies.

So, a legit merchant banker and his wife involved in the operation of art facilities and artistic creation are going to fund a boron mine in Serbia to the tune of $25-30M!?!
Why would a banker be buying almost half a mine through such a company?

Where does Tim find these people?
Anyone else has info. on Osmose Ltd....This is strange.....at least to me.

L& L,  That was the same and only info I found on Osmose Ltd. a year ago  when I completed dd. Don't let that fool you, or under estimate Osmose Ltd. It was MMG Capital from Germany who referred Osmose Ltd. to TD, as per our LOI Original News Release. "Tim Daniels, President of Erin stated, “We are very pleased with the arrangement we have negotiated with Osmose ...more

I'm just saying that both Osmose and John Cutts are very strange beasts. For one thing, none of the company on which he sits seem to be active!? Apart from Osmose, they're all dormant (All the ones that I checked anyway). There's just no public info. to make up my mind one way or the other. Anway, I've been open on my opposition to this deal. Let's see where it goes - Money has ...more

Last questions on this deal, Why would BONE need money if the goal is a buyout after the exploitation field license is granted? The only reason I can see for needing the money is that BONE really intends on being a miner. Let's say Osmose forks over $ and a buyout offer comes along in 2024. Basically, that $ will have been useless to BONE. Is that $ being used as "Plan B" (i.e. no ...more

I agree with your suggestion.

I like the Osmose deal. Huge win/win for both parties. We still have all of jarandol (once awarded) that is 20 times larger and the small deposit (assumed) on our own. The Big boys will pay much more attention should we get the basin to explore.

Fair enough, you like the Osmose deal. If a buyout deal for Piskanja is offered in 2024, how does the deal vs no deal compare in terms of $ in BONE's shareholders pockets ? If there's a buyout, I can see a huge win for Osmose but won't that win come from BONE's pocket? You must be assuming that BONE will be a mining company..... Cash outlay of about $35M for 45% of a ~$1B asset ...more

Will you help me understand why you like the Osmose deal?

Good point L amd L why do we the Osmose money ) and the loss of a percent of the property with it when BONE intends to sell the property anyways? I will take a guess at it and say that without the capital to go forward with the mine development, BONE s negotiating position is greatly reduced . I am sure there would be other ways to get the capital but they take time , shares(PPs) and ...more

Greatly reduced negotiation power - Malkes sense but BONE could still sell Piskanja for close to half the price they could have gotten if they had Osmose's $ with no impact on the final $ amount it would be getting. Seem it would be easier to sell Piskanja at that much lower price level than having a partner and having to sell it for close to twice as muich...

Exactly , Yes an even better point,  nobody is that concerned about how it plays out , it ultimately always comes down to what each shareholder would make per share,( or we wouldn't be here)  I will agree with you that it would make for an easier sale ( less cost) and what we would all hope for a higher per share buyout as result of a less costlier acquisition price for the buyer ...more

I should have clarified it better. , " the better point " was your perspective on the deal , lower price , all paid to shareholders, instead of higher price split between :shareholders and Osmose. My counterpoint was that a small Canadian company even with a mining license but with no financial backer is hardly in a position negotiate a lucrative buyout  .  That being said we ...more

Perfectly said. Along with BB's description of all that Osmose will bring to the table.

Osmose will bring capital (which we haven't seen yet). The rest of their contribution is all fluff. (1) Presence in Serbia....like BONE needs this.  BONE has been there forever. Look who's on Balkan Gold and BONE's BODs! - Serbia will do what they do in their own time.  Osmose will be of no help in this regard. (2) Contact with Boron offtakers: TIm has talked extensively on ...more
