Hummm,,,a merger or a buy out?

How does a merger or buy out with stock work when market caps of the respective parties are dissimilar?,,,,,,Midatech at $10 million and Bioasis at $14 million yet BTI will make up a smaller percent of the merged company............hummmmm,..........to add insult tio injury all the while when our team of PhDs have continually noted we are comparable in value to Annexcon Inc.,,which today is trading with a market cap of $260 million......hummmmmm,,,,,so many questions!!!,,not to mention the market size each of the merged companies are targeting!!.....have others noticed these disparities??....

Yes indeed, i believe it might be a good idea to get 3 to 4 of the top questions we have put together & send them to Graeme as a whole allowing us the better chance/likely hood of having them answered? I would submit the question: please do the math I'm asking for: on million BTI shares using the merger identified ADR conversion ratio of .0382....what does a shareholder have after closing?

rony,,, I dont know if that works on the deal where the new company has not had the market put its value on it in real time on the floor,,,,,,!,,Others would have more insight on this Im sure.

one of biggest questions i have is , 1) what happens if the deal is voted down? i will be voting YES as i believe we will have even less to chat about - we will be finished. 2) how long before we see our shares converted & on the NAS? 3) We want/need clarification on the rumours davenport has been spreding about a "glitch in the platform" we need this addresed. The "glitch" was described in a scientific paper published in mid 2020, lovingold. The paper postulated that there are so many LRP-1 receptors on neurons in the brain that anything delivered that uses that receptor would likely deliver too much of its payload off-target to normal brain cells, and could be toxic to those cells in some cases. The Bioasis press release spins it as a merger. The Midatech information calls it an acquisition. It's an acquisition. Calling it a merger is an attempt to detract shareholders from the realization that 10% ownership in the resulting entity, Biodexa, is an acquisition of Bioasis. Calling it a merger tells you a lot about how unforthright Dr. Deborah Rathjen really is. My next post, up in a ...more
