Consequences of a "no" vote: from IR

Consequences of a "no" vote: "If the transaction is not approved, Bioasis would be forced to try to continue to operate as a standalone company. It could also be required to reimburse Midatech for Midatech’s expenses associated with the transaction (up to a maximum amount of $225K). The bridge loans from Lind and Midatech would be payable on June 30, 2023, and Bioasis is also required to resume regular repayments under the original Lind agreement starting in January 2023. Both the bridge loans and the Lind agreement are now secured by a pledge of all of Bioasis’ assets. In order to repay the bridge loans and to make the regular monthly payments under the Lind agreement, as well as to fund ongoing operations, Bioasis would need to immediately attempt to secure additional financing. Given current market conditions, it is unlikely that Bioasis would be successful in securing such funding and, even if any funding is available, it would likely be on terms that will be highly dilutive to existing shareholders. If Bioasis cannot raise additional funding, it would likely default on its obligations under the bridge loans and the Lind agreement and Lind and Midatech would be entitled to enforce their rights as secured creditors, which could include enforcing on their security interests and seizing ownership of Bioasis."

That, fuzzy, is pretty much what I posted. Both Bioasis and Midatech are required to pay a penalty if the deal doesn't go through. If both sets of shareholders reject the deal then the penalties would offset each other and that could be one less liability for both companies. So i am confused. If xB3 is really worth so much, how come BTI could not find a partner to help develop it and save them? Surely if there was any value to xB3, they could have found someone to partner with, no? Doesn't make sense to have such a valuable asset and have pretty much no one interested in using it after all of these years

Zwerp!  You dont get it.  ONLY JBroke is able to "read between the lines" about XB3. Big Pharmaceutical companies just couldn't do it.  Their Chief Medical Officers,  Lead scientists,  technicians,  NO ONE could see the value of XB3 because they aren't "smart enough" to "read between the lines" like JBroke!! LOL, that has been my argument. If xb3 was valuable, someone would have snagged it a while ago and not passed on it. And i am sure bti could have used xb3 to get a deal where they got cash and could keep going. years of "developing" this platform with nothing to show for it, nothing in the clinic.. sounds like a scam to me. again, what did management do over the years to earn any salary. ...more

You're right, zwerp2000, maybe xB3 is worthless, but that's not supported by this sellout. What if Rathjen prevented deals and buyouts because of her own self interests. The information circular points out exactly that potential conflict of interest. The BoD apparently acknowledged the conflict and said, essentially, yup, we understand that and then approved the deal. jd

I just can't imagine she would subject herself to such liability if that's the case. Also, she can't act alone in putting together this deal. She had years prior to use xb3 to create value. How come she failed? If xb3 was valuable, someone would have snatched it. Yep, maybe she wouldn't take the chance. But everything she did and didn't do can be discussed in terms of conflict of interest. It's plausable enough to write a book about it, fiction or nonfiction. This could very well end up a YES vote from the BTI shareholders and a NO from Midatech Pharma PLC shareholders which would put BTI on the lurch. I wonder if this concern is in the minds of BTI management. Midatech dropped by more than half of its December  12, 2022 share balance price when it was $1.65 US. JMO G1945V

  Do some actual research - MD first met with Chiesi in early Feb 2019 - he did the deal - DR just took credit which took her >a year of begging..Prothena was not only deal. MD also did the WUXi & bioagylitics partnerships, among many others.  DR has done nothing in the clinic or otherwise. Whatever value that Biodexa might have and develop, it will be shared among 1.2 billion shares, 75% of which are held by people who are here because they put the deal together.
