$100 Million Subscription Agreement

The Company entered into an agreement with Treasure Union Ltd (TU) on February 1st, 2018, whereby TU would subscribe 33,333,333 common shares of the Company for US $100,000,000 and a subscription agreement for the same was entered into on April 3, 2018 to be disbursed by September 30, 2018. The Company will also issue bonus warrant for each common share issued to TU.
