Candorado cancels $750,000 private placement

Mr. Kirk Reed reports

Candorado Operating Company Ltd. will not be completing the flow-through financing as previously announced in the company's Stockwatch news release dated Dec. 2, 2010. The flow-through private placement had been agreed to at 10 cents per flow-through unit by a memorandum of understanding with interested parties. Prior to the closing date of the financing, the company's shares dropped and the interested parties declined to proceed. Management has attempted to secure subsequent sources of non-flow-through and flow-through financing, to limited success. As a result, the company will be seeking shareholder approval to consolidate the company's shares on the basis of one new share for up to 15 current shares in the future. The current low stock price negatively affects the marketability of the company's existing shares and its ability to raise additional capital. The management believes that in order to secure alternative financing and avoid significant dilution of its existing shareholders, it is in the best interests of the company and its shareholders to consider the consolidation of its shares at this time. Management is actively seeking joint venture partners and option earn-in agreements to continue development of its projects until such time as financing can be secured through private placement in its shares.

They had an agreement with Mineralfields and Joe and Joe didn't like the price and backed away.  That part I get and being in business in flow through shares with Joe Dwek doesn't exactly augment the stock price. So I get that part.  If they had an agreement at .10 and then settled for much less the market would not like that.However, this consolidation idea?

The last reverse split that I took notice of was Revett.  It's a silver company.  I was in the company's stock at the time and I remember people were very irate that they were going to do it -  that was the rumour anyway. The stock did very poorly while the idea was being thrown around, much like CDO.  The reverse split happened and the stock behaved very well and ...more

WER did a 12:1 reverse split a few months back and the s/p hasn't increased very much.  I am voting against it if it comes down to it.  Hopefully they can find another alternative before then.

I can name you at least a dozen starting with Nortel look where they are. Then there is CDB and BZA American bonanza twice a reverse and each time dropped over 50% and these were well established companies IT DOES NOT WORK that alone speaks how brite Management is here.

If CDO does the consolidation, I first vote againsz it....and than dump my millions of shares. Reedis an idiot.....I knew this.A reverse spilt is, in 99% , the death of a stock!80 million sharse are nothing Reed is definitively an idiot!

That's what I been saying. To even consider a reverse consolidation (and a 15 for 1 at that) on an 85m float is preposterous. A CEO who has any brains would use the low float to build up the SP and when the float becomes saturated with hundreds of millions of shares, then consider a cosolidation at a much better SP and a lower ratio, from a position of strenght. ....if a compnay does not  offer private placements and options to such a mafia-like Fonds, the company would not be in trouble. As MF is out now, there could be another way to solve the financial problem. But the main problem is: CEOs usualy pee on shareholder and do not take care for theri interests. Thus.........discussion here is useless. Those, who have got enough sahres, should simply ...more
