CNC/NOB/SHL getting very confusing.

DrNo commented on either NOB or SHL board. Can't remember which one, on whether NOB and SHL could merge. I think DrNo is exactly correct. I looked at past articles and not only has CNC issued shares to the other two but NOB also has their hands in the pocket of SHL. This is becoming a mess. NOB and SHL merging at this point would probably make sense which might cause delays in transferring CNC dividend in kind shares over to shareholders especially if SHL and NOB become a new entity. Not sure how this plays into the news delays on our end. Being the potential CNC has with all those other NOB properties, could it be they haven't closed the deal fully yet on those properties? Maybe renegotiation? I have no idea. Something is up and it might have to do with NOB and SHL.

The CNC/SHL/NOB is certainly very confusing although one thing is clear... CNC acquired Crawford from SHL and NOB and as a result SHL and NOB combined owns approx. 20% of outstanding CNC shares.  SHL and NOB also own significant stakes in each other as well.  I am just trying to figure it all out... If someone has made an offer for CNC - aren't there rules about having to disclose the offer to the shareholders?

I think if they are looking to just take a large position, ie: buy the shares of NOB or SHL as a form of backdoor entry into CNC, I don't think it needs to be report till the transaction is complete. I think that is what is going on, someone wants a chunk of shares and they will pay a premium to get a position. I think this is why SHL has delayed the share transfer.

DrNo you're going to be right on this one. I'm pretty sure. A big player buying SHL and NOB will get access to CNC in an easy cheap way. They can't get in directly through CNC. As we've discussed in the past CNC has a lower share count and lower trading volume. Not to mention management owns a decent amount plus we have the strong holders like ourselves that are not going to tender ...more
