Spin out reasoning check

What I am still pondering. 


DM has three verticals. EV / Medical / AI

So far for the last couple quarters only one has produced any significant revenue: Medical (Imagine Health). 

Currently DM is not flush with cash like it was last year. It cost some $$$ to buy those clinics and get these verticals up. I am not debating if the all the money spent was or were great investments. But reality is we don't have tens of millions in the bank anymore. 

Now. What I find interesting is all the news of spinning out our only profitable and revenue creating vertical at this time. Why? The only reason I can come up with is that you are very confident some serious reoccurring cash is going to be coming in from one of the other two. 


I would not be suprised to hear of something big with some real $$$ attached. Soon after they activate the spin-out. And when does Marshal keep saying he is hoping to potentially spin out?

Spinning out health when Marshall is trying to get covid testing going again really doesn't make sense....if you want to be a covid player stay in health is a logical  expectation. Not sure why they want to dump it.....maybe the way it'll be structured brings cash in for DM or someway to get access to cash. Q3 in a month or so is our biggest quarterly yet imo....it will clear up our ...more

I have wondered about this as well and there are only 2 reasons I can fathom for DM doing so.. 1  They need cash. But why get rid of Medical when there are other ways to raise cash rather than spin out a profitable and growing vertical? And MG has stated in last discord cash is ok. Soooooo... 2  Something really big is cooking. It might be that it is not quite as ready as perhaps MG ...more

Maybe the really honest and ethical Steve McAuley from Empower Clinics Ltd. will run the medical spin-off.

The company has bought back millions of shares and canceled them and insiders bought millions of stock options recently. That does not indicate a need for cash, but rather confidence in the future Financial report in approximately three weeks. Special consideration for shareholders owning stock on Oct 17th in December AGM. So i agree that something is happening.

They would make more cash from keeping it compared to spinning it out?  they spin it out and let's say keep 20% of the company and the rest goes to the share holders. Let's say it gets a 10 million market cap (who knows what the market will value it at). If they instantly liquidated all their 20% it would only give them 2 million. Can't imagine this would be a plan.

Forget about MEDI and EVS. Look at SEDAR reports, after review by the financial auditors they became expenses not assets. To me, they have no value a this moment, they are just distorsion.

A spin out of MediCall will allow the company to reduce the share structure for that spinout and then raise cash to go on a spending spree to expand Medicall and/or go on an advertising spree or whatever is needed to increase it's value and competitiveness.  This would also allow an insitutional investor to take part in the cash raise.  So there is certainly value in spinning it out, ...more
