The fact that this private placement was done prior to an overdue AGM makes it suspect. It is clear the company is well funded and does not need the money. It is clear the non flow through shares are a method to take control of the company. There should and must be shareholder approval of this outrageous placement at the AGM. This appears to be a scheme to avoid defeat st an AGM and plunder the Cash that belongs to shateholders .When conflicted insider Deals are no longer a one off , but a routine matter it appears to be a Conspiracy to Raid the Cash and pass it around the Table in the USA this would likely result in  a RICO charge .There is No way this should be approved before an AGM and voted on by the ...more

Non Arms Length hmmm Investors From Tax Havens  Jersey,Hong Kong, British Virgin Islands Something tells me that someone has more than 20 %  Who lives in a Tax Haven ?  Zug ? This needs to be properly invrstigated

Like I said, usa regulators don't mess around. This is the equivalent of iiroc. I'm going to forward to iiroc and ask if they have a bone to pick with Haywood over the same issue and maybe take a look at this fnc deal in that light. Why don't you try flipping the deal info to your finra contact in case they want to follow up with Haywood
