A Question to Readers
This is a question that I don't know the answer to. I'm hoping that one or more of the Readers here has more knowledge than I do in international finanical law/trading.
Based on FOBI AI's Press Release of June 28 2024 regarding the Strategic Private Placement, many Readers assume that the Private Placement is with someone or some entity based in the USA. It's a reasonable assumption since the Strategic Private Placement is priced in US Funds.
My question to more knowledgable Readers: Is there any reason that the Strategic Placement cannot be situated in the UK or Europe? Is it allowed for a UK person or entity to invest in FOBI in US funds and hold the investment (for what ever period of time or what ever purpose) in US accounts?
Remarks have been made by third parties from other countries about FOBI. Is there any reason that the Strategic Placement might come from the UK?
If the Strategic Placement is completed in the next week or two, my guess that there may be a separate announcement of new business; but this is my pure guess.
If anyone understand the rules of foreign investment into US securities, I and some Readers would like your insight/knowledge.

Yes, it would be possible. For an example, look at the most recent debentures issued for VERS.N, company was out of Saudi Arabia.
