Why stock price so low if there is a PP at 0.10$ (USD)

Coming back to this stock and don't understand what is the issue here...

"The Company is also pleased to announce a non-brokered private placement financing (the “Offering”) of up to 15,000,000 units of the Company (“Units”) at a price per Unit of USD$0.10"

There has been no mention about the PP being completed.  Have you heard anything?

It feels very telling that the shares for debt announced at the same time went through and was approved by the exchange and the PP wasn't.
