HPQ Silicon Inc > tricky contracts between hpq and pyr .

tricky contracts between hpq and pyr .

in the case of fumed silicon
we pay 4M for the patent
and 10 % royalties on the future  sales .

but This royalty stream can, at any time, be converted by PyroGenesis into a 50% ownership in HPQ Polvere.

the same kind of conditions imposed on hpq silicon resources on its nanopowder business .

what does that mean for the other shareholders ?
does it mean that the shares emitted have to be doubled to grant pyr their wish of 50 % ownership ?

this seems excessif .i must be wrong

I would say that no additional shares of V.HPQ have to be issued to effect PYR's option to be a 50% owner of HPQ Nano or HPQ Polvere because if they exercize their option they do not buy half of V.HPQ which trades on the TSX. They buy half of the two divisions of V.HPQ (HPQ Nano and HPQ Polvere) which are separate, legal, corporate entities owned by V.HPQ. and which do not trade on the TSX ...more

Nice piece...V.HPQ share price would certainly skyrocket in the event of an announcement of a 50% ownership exercise.  But imo, such an announcement would signal a buyout of the entire company/V.HPQ, not a single division or subsidiary.  The sale proceeds coming from the purchase of a single division/subsidiary become part of the listed company's (V.HPQ) assets, which ...more

Good point CancerSlayer. I suppose that in a perfect world adding, for example, $1.5B to V.HPQ's bank account should proportionally increase the V.HPQ share price but how many times have you read about a public company trading at less than cash value? I'd prefer that shareholders get whatever is left behind after paying for legal fees, bonuses, and doing a reasonable prop up of the cash ...more

Does PYR get the right to convert to 50% of all of HPQ ( the whole parent company) or only to 50% of certain individual divisions ??
Comment by developbc on Aug 09, 2021 3:50pm
Only option to convert into 50% HPQ Nano and HPQ Polvere and not between V. PYR and V.HPQ..and not Purevap QRR as that is exclusive HPQ’S with only 10% royalty structure to PyroGenesis. Long and strong HPQ!!

Develop......thanks for clearing that up was a bit confusing
Comment by Moneycat on Aug 09, 2021 5:01pm
Yes, thank you Develop!! Can you maybe do a quick breakdown again on what exactly the 3 different divisions will be about and point out again which 2 are part of the 50% option for PYR and which one is not.  I think if you expain in easy layman words exactly what each division will be working on and hoping to achieve that will help a lot of people out. That will definately help those that ...more

Thank you for the response....I am almost unconfused  but I have one last quick question.....So Purevaptm ( nano Silicon ) and HPQ Polvere ( fumed silica ) is optioned to PYR for 50% in the contracts.  The Nano Silicon ( EV battery material  hopefully) is why I started investinginHPQ  back in Nov.  The question is what exact market will Purevap QRR target ? What Market I ...more
Comment by developbc on Aug 09, 2021 8:55pm
Most welcome Moneycat.   QRR will be primarily targeting solar energy mkt and other industries that require 3-4N Si economically. Interesting questioning that I think LOT investors don't fully realize.  Purevap QRR is absolutely vital for the other 2 subsidiaries Nano and Polvere bc QRR will be the one providing the valuable  Si feedstock that it converted from cheap quartz ...more

That is exactly  what I was looking for to understand in a nice easy laymans way !!  Thanks and all the best to both of us and everyone else in HPQ!!! .

Obviously you did not read my post. All three deals with pyro explained.. please go back and read...Beachbum
Comment by Moneycat on Aug 09, 2021 11:27pm
The summary that you posted today does not mention Purevap QRR at all.  That was the part I was confused about that Develop explained.

What is this then first paragraph Montreal, Quebec / TheNewswire / September 30, 2015 - Uragold (TSX Venture: UBR), is pleased to announce that it has entered into a Memorandum of Understanding ("MOU") with, PyroGenesis Canada Inc. (https://pyrogenesis.com) (TSX-V: PYR), a TSX Venture 50(R) clean-tech company ("PyroGenesis") that designs, develops ...more

Not that tricky BUT PYR may endup taking over HPQ  1 PYR share for  ?? HPQ  share (s) If this is to happen HPQ shareholders will have the last word
Comment by coffee69 on Aug 10, 2021 11:12am
That won't happen HPQ will be far more worth pyr just wait and see what happens next...while people don't like what I say and take their likes off me I don't care im here for only one thing $$$$ not friends ...friends won't make me rich but hpq will.

finally someone that makes sense
Comment by Casavantsghost on Aug 10, 2021 2:00pm
We can have all the nano silicon in the world for andodes but when the massive shortage of copper hits the streets... then what? EV's have twice as much copper as a gas powered car. The copper shortage will stall this transition unfortunately.
Comment by Casavantsghost on Aug 10, 2021 5:46pm
What I should have added to this is that I like that they are not relying soley on the Nano Silicon and Bernard isn't stupid, he is aware of the copper issue so it would make sense to derisk and branch out to other uses of the technology.  I asked Peter the other day as to whether or not ANY of the companies processes could do graphene oxide... Rodayna answered with "possibly" ...more

Hey Casper I think you are going a bit far with your copper comment.
Comment by Casavantsghost on Aug 10, 2021 7:21pm
No.. no I am not.. The bottleneck will be not enough being mined.. and some of us are aware of how long it takes to have a mine come to life.. We are not even close to meeting the demand with current mining let alone getting more mines up and running. https://evworld.com/youtube.php?id=161
Comment by Moneycat on Aug 10, 2021 12:43pm
I will not go as far as say HPQ will be worth more than PYR....but it will be worth a heck of a lot more than ,64 cents.   The markets for Nano Si will be massive and the market for  Fumed silica with their advantages over current product is no small potatoes either.  Now is the time to accumulate as much as you can at these prices.  Long and strong !!!
Comment by wasitreallyok on Aug 10, 2021 1:00pm
Moneycat I agree the market for Nano Si will be huge. As soon as the samples are shipped off for validation the stock price here will jump, and then the results of the tests will send the stock price above levels not seen as that is when they will start shipping samples out the door for the prospective customers. Best part of the market, no one else is in this space at this time and the number of ...more
