Great News

Great news for ICM and NVLH shareholders.  I am going to say I told you so now.  The companies have merged as I was hoping that they would do.  This now provides a clean structure for doing deals to develop BC.  

After this deal closes, I am expecting offtake agreements to be waiting in the pipeline.  There must be end users who pushed to have this deal done so they can deal with a single entity that controls the resource.  This deal would not have done for the fun of it.  Something big is coming and the the new mergeco stock is gonna soar.

Good luck for all us who have been waiting for so long.

By the way, some people speculate that the mergeco will be acquired.  I don't.  I expect offtake agreements.  The reason is that you can acquire both companies interest in BC without having to do a complicated and costly mergeco transaction.

Still digesting the good news... So I am straight on my thinking, basically ICM still exist as a company (with their other license areas) - whereby shareholders retain their holding in ICM and get new / free shares in the new "MergeCo" ? Or have I got this totally wrong?

That is how I read it too.  ICM's Bonnie Claire interest goes into the mergeco with Nevada and ICM shareholders will get shares in this new entity.  Assets outside of BC will remain as part of ICM.   This deal should take 90 days or so to close.  After closing, I am expecting offtake deals with OEMs will be next in conjunction with more results around defining the BC ...more

Perfect, thanks buddy.  Hopefully, ICM cam kick start the Smith Creek Lithium deposit exploration as their gold projects don't look too promising at this stage.

Agree that the gold projects probably have zero value at this point.  LON is a private company and it looks they have missed their first scheduled payment in Decmeber to earn their 50% interest in Smith Creek (i.e. I haven't seen any announcment that the payment has been received).  They don't appear to be the real deal so I think ICM still needs to find a real partner to work ...more

Good info buddy. Well they are going to have to do something sharpish on SC, if they want to keep ICM moving in the right direction. Eitherway, the deal sheet should be interesting in terms of what ICM gets financially now that it looks like the shareholders are covered.

How do you figure they missed the initial payment?  I was told we will here more about that payment after NVLH closes this PP at the maximum number mentioned of 5mil.

The payment I was referring to has nothing to do with the NVLH merger deal and Bonnie Claire.  I am talking about the Smith Creek payments which are required for LON to earn their interest in Smith Creek.  The payment schedule is listed below and I have not seen any news announcement that the December payment was received so I assume that it was missed.   ...more

Ah okay then you keep hoping and waiting.  If it happens then great but I am not counting on any JV news on Smith Creek given the missed first payment. I will focus on the tangible stuff that are on track to be delivered.  I expect the merger with Nevada Lithium to be completed in 60 to 90 days.  I expect more drill results to be released soon that will better define the Bonnie ...more

Well today's release can now be counted on :-). It's good news from my perspective, they have all the experience on Bonnie and will be able to apply to SC... Hopefully, they will announce the plan of action re: SC in the next few months and get the drills going asap.
