Usually when you buy shares from the company, in a private placement, you are obligated to keep them for 30 days or more.... I don't know if this apply here...

It's a private placement - so it would be a 4 month hold. If your a long term investor it's the way to go, if you just want to trade it, well your stuck for 4 months.
