Dividend vs class action

There are Cdn class action lawyers, if they like the case then they just need a lead plaintiff to get started.

I still naiively think that a dividend will be declared.  This LFD is small potatoes for the main guys, they have so much on the go.  Seem odd/crazy to me that they would risk their reputation on it.  I assume that they are thinking it through now with their lawyers, but a div would need a BOD meeting to declare it with the dates, and they might be waiting until the money is in the bank.  No need to rush on their part!

The material to be voted on was very very specific as to the 10 cent dividend.  It wasn't a possible outcome, it was the vote.

And if this did get to the class action stage, a good lawyer I think would argue that there has not been any change in control, and therefore these massive payouts are not valid.   I am pretty sure it requires a change in control to validate them, but they of course will take them unless they are stopped.  And sadly we dont have regulators who care about anything but lunch in Canada, the OSC is useless...  so it has to be legal or bad publicity to make it happen.

just my thoughts... the mkt certainly says no dividend or we'd be over 15 cents.

good luck!

RockLobster, I concur with your post. May I add that the move to the NEX was rather surprising, and not mentioned until one business day before it happened. Also, I'd like to be updated as to what the company's next step will be, after paying our dividend, of course. Cheers, Ptero Disclosure: I am long LFD

Deep down inside I have a nasty feeling that a long time ago this executive team honed their skills of deception and treachury whilst skipping out of the infamous Sammmys  Exchange (the very heart and soul of Bay st) and needless to say...stiffing the waiters and waitresses and leaving mountains of unpaid bar bills behind! A pox on these filthmongers! If only a public stoning was legal!

Cdn class action lawyers - a few exampleshttps://www.merchantlaw.com/classactions/ - ex Kinrosshttps://www.cfmlawyers.ca/class_actions/index.html - did Novagold Could be too small a case, but enquiries and letting LFD know might help. What is a reputation on Bay St worth these days? Sadly seems not much. definitely worth a call to a G&M or Fin Post writer, a good story of what goes on. The ...more

The wording may have been unprecise; however, the message to shareholders was definite.... approve the deal with Genel or get NOTHING! The mention of a dividend was icing to obtain shareholder approval for a sale recommended by management which otherwise might have been rejected. In other words, this was made to look like a package deal! Management cannot be trusted and will fight any lawsuit with ...more
