UrtheCast Financing

Under the Arrangement Agreement, UrtheCast is permitted to raise additional capital by way of one or more private placements of its common shares prior to the completion of the arrangement (the "UrtheCast Financing").  Concurrently with the execution of the Arrangement Agreement, UrtheCast completed an initial tranche of the UrtheCast Financing by issuing approximately $5.6 million of common shares to a group of investors that included Longford.  If the arrangement is not completed, the investors (including Longford) in this initial tranche will have certain rights to require UrtheCast to repurchase their shares and, in certain circumstances, to appoint one member of UrtheCast's board of directors.  The Arrangement Agreement provides UrtheCast with the flexibility to issue up to an additional $14.4 million of common shares under the UrtheCast Financing.  Canaccord Genuity Corp., Cormark Securities Inc. and Clarus Securities Inc. are acting as agents to UrtheCast for the UrtheCast Financing                                                  UrtheCast does not have the  $63.5 milloin cash so it looks to me they will get Longford for $8 million or less,      SO UrtheCast LETS SEE THE CASH and NO BACK ROOM DEALING.  PERIOD.

ON THE OTHER HAND..........as much as the new managment team (deadwood)  of LFD seem like as much bullshirters as the last management team (bharti, ahmed), maybe we shareholders will get lucky here. instead of doing a jv with another resource company or gold company, which are clearly in a big bear market now, we are entering the hi tech field with urthecast. so we may be somewhat immune to ...more

Hi-tech ! you are fanticizing yourself. This is nothing but another hole we are sinking into. Urthecast claimed to worth 63 milion dollars, yet they have no assets, no cash, no business plan, no estimated future potencial earning, only an idea of beaming earthy images from space. This kind of technology is not limited or patented by Urthecast. Any company in the world can copy and do the same ...more

dont get me wrong. i dont like or understand  the urthecast deal either, i would have liked 1) to have drilled chia surk or 2) to get the dividend the promised us.  BUT, maybe uarthcast is better than some gold deal now, being that the resource sector is absolutely in the toilet.
