Break-up Fee

Good day everyone.

I remember a while back somene talking about some sort of break-up fee that will need to be paid if/when this thing sells.  The number that was kicking around at that time was $300M.

I have no idea to whom this fee will need to be paid or what it's for.

Could anyone that has knowledge speak to this please?  Also, If this sells for like $2, as some have said, and the break-up fee is still $300M, well....you can do the math.

Don't break up fees only apply when the seller backs out of an approved merger or acquisition? I think this protects the acquiring party.

I think the term is 'Break Fee' and they can be negotiated into any contract by either side to - in the event of a future decision to end the contract - have the breaking party compensate the other for anything from sunk costs or lost future revenues or opportunities - or even just to act as a disincentive.  The only thing I remember that comes anywhere close to this kind of thing ...more

The break up fee talk originated from oneof Roger's Facebook posts. Here it is:  "Interesting how the senior Gold producers are getting much much larger. Cynthia and I have personal witnessed this recurring sector trend in every Gold Cycle period over the past 40yrs. fun fact, if you would have invested 100k on September 28th last year into LME you would be sitting with $52,900 if you have invested in ACTUAL gold on the sameday youd have $132,000

Yes your correct.  But you would be missing shareholder value lol. At this point you just have to laugh and hope things actually progress... but it's still extremely frustrating when all the other jr. are at least moving up and not down even if it's only a little at a time... we have been just going down even with postive news
