is the purpose just to grind down the share price frustrating investors while the company will be privatized with the shares being bought by someone who is technically not an insider?

I do not think anyone plans to buy this mate... they really don't have that strong a product anymore. Also, they can't control the expenses at all

Management is putting out a narrative that the company's shares are worth less than a third of the average market cap of its peers. I am not an expert, but I think it would be extremely problematic for them and the board if they agreed to some transaction that squeezes out retail shareholders at a significant discount of the belief of the company's worth that they are projecting.
