Who Pays The Break Up Fee If This Goes South

Let's say William Hill gets their shares and blows the deal up;  Who pays the break up fee?  This will also affect share price.

there would be no break up fee.  only break up fee is nyx get better offer or scientific walk away and that is dicey to get paid at best.

Hard to believe that people gave away their shares around $1.60. Perhaps Scientific Games will speed up the process to beat the 4 Dec deadline.  Understandably William Hill doesn't want to lose $50 million and likely considers that NYX is a valuable acquisition that they view as being undervalued. Messy in the short term but  it should certainly be worth more than it's trading ...more

NYX would not be obligated to pay the break fee if the deal fails to get shareholder approval.

Don't know about you folks but I certainly won't mind one iota if the deal falls through.  Not sure about the legalities of the shares or who pays the breakup fee.  If NYX becomes a stand-alone firm again, I'll be one happy camper ! NYX is a cash cow. We'll see that with the November financials unless management $crewed the company on the financial end more than we ...more

SB - 100% agree SG needs this - find it very hard to imagine they won't either give WH what they want or a concession to make up for it, possibly meaning a higher purchase price.
