Could this Buyout Still Fall Through?

This is still a weird on for me.    I have read lots of interesting opinions on what may or may not happen and of course the release last Friday. 

So the big questions are: 

1.What are the chances that this deal falls through? 

2.What can WH really do about this other than try to run in through lawyer land? 

3.How long can WH tie this up for if they really want to?

Any opinions?

The share conversion is enough to block the deal The deal could be blocked and effectively fall through
