Cost of Open EC

Despite Open EC never having earned a dime in the decade prior to QHR buying Open EC, QHR Mgt and board bought this business.
The cost was 4.4 million shares now worth $6.5 million.
They laid out cash of aprox $1.2 million and assumed liabilites of I believe $1.5 million.
The operating (cash) losses  (again these are very rough guesses from the quarterly mda reports)
2013 $1.4 million. 2014 I woud estimate over $2 million. (they decided not to break out the div loss for q4.
The close costs are estimated at $1.6 to $2 million cash.
The low end sum is $13 million.
I am still confused why  mgt bonus and stock options were paid over the past 2 years, given the hit the shareholders have had to endure.
