In a cash-share deal. If they buy ROZ for, say, $10M, that would be the equivalant of them paying for their acreage for about $5M (I'm going off the top of my head with these figures when I looked at this a few weeks ago, look at SEDAR yourself to confirm), because ROZ is trading at it's cash/marketable securities value and they own PFC shares. So it's a lot like a buy back on PFC's case. Very interesting that PFC just closed their PP on September 17th for $10M then a day later ROZ announces their strategic review. I think the companies were already in talks then ROZ retained CIBC to see if they could get a better deal out of the situation.

I do not think they will get a better deal from PFC as both PFC and ROZ have the same CEO.CFO.Chairman and board. Perhaps CIBC can sniff out something from someone else ( but not to much to suit PFC ).

I didn't do much DD on PFC. I didn't know that they had pretty much the identical leadership team. So yes I take my comment back since the two companies coming together would be a friendly and easy deal. So perhaps they are looking for something better and a PFC business combination is a fall back option. It still makes a lot more sense to cmbine at these low prices for each company. Safe ...more

birdie22, it would be normal practice in the UK - where I am from, that those directors that sit on both boards would sit out of any discussions in meetings which relate to both companies. I can'think how they'd be able to put anythying to a vote in this case! posting rules

If they all sat out there would be no one left to have a discussion with. If PFC comes thru with what they have been hinting at I would think the take over would be somewhat fair as they would not want to p*ss off Sprott and Soros whom I think still own over 20% of RPZ Sprott As at May 31, 2012, the Offeror exercises control or direction, on behalf of accounts fully managed by it, over 12,112 ...more

im not sure if soros (Quantum) still own pfc shares, but they had several million a two years ago when pfc,s ipo started trading
