Insiders

Now that Jamie Mackay owns:  6,839,027 shares before warrants when you add up the shares owned by the top 10 insiders (before warrants) including Yofoto and Mainepoint by my crude calcualtion they own 30,000,000+ shares of the 51,169,215 shares issued and outstanding as of January 1st 2023.

Regardless of how this plays out in 2023 these 10 shareholders run the show.

Yep, you're spot on! which is a delight to see. I'd rather see this than a fraction of what they currently own. They are believers - or so it appears

Yes, I don't have a problem that these insiders are believers.  That is is not the point I am making.  The point is, good or bad these Insiders control the company and and the direction they feel suits them. You notice I use the word them instead of us.  I am hoping what suits them is also good for us.

Well isn't their interest the same as yours & mine as shareholders? Get as much value as possible for the greatest ROI?  what else would their intentions be?

Take the company private.
Comment by Genie29j on Jan 10, 2023 9:33pm
Ahhh I see where you're going with this. Yea, that's certainly a possibility...and they could do it relatively inexpensivly.

Very interesting.  Is there some interest in this possibility now?? I  seem to recall  suggesting this a few months ago  and  received no response of any kind to the suggestion. Yes  , a real possibility  and  rather  than get the  $5  someone suggested  recently  , Existing shareholders  may  get  5  cents ...more

bluemoons20 There are a couple of scenarios at play. Firstly with the 10+ insiders controlling the company if they choose to take it private the share buyout price will not be $.05. I suspect if it happened now it would be in the range of $.25 or above.  I am not sure on what Canadian securities rules apply when companies are taken from publicly traded to private. Secondly the other scenario ...more

Honestly though, I see this as a very slim possibility  1. other than Andrew. These other insides are just regular people. They don't have deep enough pockets  2. No chance YOFOTO sells - especially since they bought in around $0.40 (I believe). And...this was years ago, they'll want an ROI. But again, I do see YOFOTO selling because they still haven't really gotten the ...more

From the Replicel  Sept. 24th 2018 announcing the partnership with Yofoto: "The investment portion of the Transaction is a CDN $5,090,000 purchase of common shares (each, a "Share") at CDN $0.95 per Share and will include 20% warrant coverage exercisable at CDN $0.95 per Share for a period of two years. The deal structure also includes milestone payments, sales royalties, and ...more

Okay - thanks. So with this it's an even higher price tag to buy YOFOTO out.  "Worst case" they buy out at $2 per share. I drop my probability meter of them going private anytime soon to 0%
