YOFOTO paid $0.95 per share. I wonder what they are thinking.
They have 8% of shares. 

Andrew can not vote. I am not sure about MAINPOINTE. 

I think JAMIE can vote.

66% have to say yes (Excluding ANDREW and etc) 

If YOFOTO says "no" we have a chance.

OR

Get Second LOI from other company..........
If ANDREW AND HIS FREINEDS want to buy all the asset. He should buyout offer the stock.

Paying ZERO money and taking all the assets should be illegal. 

If he wants 92% of gross profit he should buy 92% of total outstanding shares.

Whole  deal  is  very one sided. Interesting they  mention  the  number 160 million  and limit  shareholder payout to 8%  or  $2  per share.  Do they have someone  ready to buy for that  price??  (or more??) Reallt  today  that is not a lot of money!! Also  , why limit  shareholders to only  8 ...more

Baldstock:- I don't think anyone on the Board of Directors should be allowed to vote on this proposal. This is one big conflict of interest. For example, does anyone really believe that Jamie Mackay with a little more than 10 million shares (15.44% of the float) will be content to receive 8% of 15.44% (1.23%) of any revenue generated ('after expenses') from sales and/or royalties ...more
