Here is an example of the Offer To Purchase that people may relate to. 

A friend of mine has a beautiful new Mazda Miata convertible. I make an Offer To Purchase. I tell

him in return for the purchase I will cover the car insurance and maintenance, and allow him to use the

car 2 days out of every 25 days. Should I decide to sell the car I also promise to give him 75% of the

money received from the sale. 

How do you like my Offer To Purchase?

75%  is  great.  Better than some portion of 8%. Looks like a better offer than we are getting overall!! GLTA

Yes bluemoons20 he had to "sweeten" the deal by adding the 75 % clause if the assets are sold but it is still a goofy deal let there be no mistake.  I think you need to read the takeover offer closely. Don't be mistaken this is a sh---y deal for the minority shareholders.
