Doesn't say anything about it being a spin out to favour existing shareholders. Wonder how they will organize it share wise -- if any change at all?

It's an attempt to raise funds via a non-public subsidiary at a price level that is higher than SBM's public stock price. Still dilution.

SBM mkt cap $30M.  If they raise $10M for a 25% stake in Sirona Labs then 1326 is worth $40M on its own.

Assume 1326 is worth $100M.   Do $10M raise for 10% of SL. SBM still owns 90% of SL worth $90 or $0.36/sh.

You would think SBM should be worth a lot more than 11 stinkin cents, but there are a heck of a lot of people who don't think so, by the look of the heavy selling today. One thing I do know is that anyone who sells on every fluff news release Howie puts out has made a heck of a lot more money than anyone holding out for the "big payoff", the payoff that never seems to materialize.

Don't worry your little shorts here. Someone didn't steal your ice cream cone. Atleast 1.1M or more shares traded says that 1. Those that bought when the stock was at its lowest levels or are wanting to move on are cashing in - good to have that cleared out. And 2. We tend to forget USD vs CAD. Deals usually refers to USD and the share is based on CAD. The conversion factor is usually 1.33 hence 0.48 cents in the example given.

Yes, and you add the commercialization of TFC 1067 with Allergan and that number, in NPV terms per share, goes up another sizeable amount. When these guys announce private equity and ramp up details, we will know this is on the money train with these uncertainties derisked. Those that get in early and take measured investment risks have that longer term payoff potential.

My assessment is that this should benefit us all proportionally, I see no immediate risk for conflicts of interest. The profits made will be shared with the private financial partnerships though. It remains to be seen how well SBM can negotiate the terms. Maybe Linda Pullan can help them out?
