On March 15, 2023, the 21 April Fund, LP (“Fund LP”) and the 21 April Fund LTD. (“Fund LTD”), through accounts managed by Bleichroeder (the “Accounts”) acquired an aggregate of 1,450,000 units (“Units”) from the Issuer through a private placement at a price of $1.00 per Unit as part of a private placement of 5,990,000 Units by the Issuer (the “Offering”). Each Unit is comprised of one Common Share and one Common Share purchase warrant (each a “Warrant”). Each Warrant entitles the holder to acquire one Common Share at a price of $1.18 per Common Share for a period of five years from the date of issuance.

Bleichroeder has control or direction over an aggregate of (a) 1,450,000 Common Shares, (b) 1,450,000 Warrants and (c) $2,615,000 principal amount of the Issuer’s 14% convertible unsecured debentures (the “Convertible Debentures”) held by the Accounts. The Convertible Debentures entitle the holder thereof to, at any time prior to December 31, 2024, convert any or all of the principal amount of the Convertible Debentures to Common Shares at a conversion rate of 980 Common Shares per $1,000 principal amount of Convertible Debentures, subject to adjustments. Accordingly, Bleichroeder has control or direction over 3.65% and 12.50% of the Issuer’s issued and outstanding Common Shares on an undiluted and partially diluted basis, respectively, based on 39,679,934 Common Shares issued and outstanding after giving effect to the Offering. Fund LP now holds (i) 425,300 Common Shares (ii) 425,300 Warrants and (iii) $758,000 principal amount of Convertible Debentures. Fund LTD now holds (i) 1,024,700 Common Shares, (ii) 1,024,700 Warrants and (iii) $1,857,000 principal amount of Convertible Debentures.
