Vancouver, British Columbia - TheNewswire - May 12, 2021 - Exploits Discovery Corp. (“Exploits” or the “Company”) (CSE:NFLD) (OTC:NFLDF) (FSE:634-FF) (CNSX:NFLD.CN) is pleased to announce a non-brokered private placement of $8,000,000 consisting of 13,333,333 units (the “Units”) at a price of $0.60 per Unit (the “Private Placement”).  Each Unit consists of one common share (“Common Share”) and one common share purchase warrant (“Warrant”). Each whole Warrant entitles the holder to acquire one Common Share at an exercise price of $0.70 for a period of 24 months immediately following the closing date of the Private Placement.

The Private Placement is fully subscribed with Mr. Eric Sprott and New Found Gold Corp. (TSX-V: NFG) each subscribing for $4,000,000. Closing of New Found Gold’s subscription is subject to TSV Venture Exchange approval. Upon completion of the Private Placement, Mr. Sprott will hold 15.1% on a non-diluted basis and 26.3% on a partially diluted basis assuming exercise by Mr. Sprott of all Warrants held, while New Found Gold will hold 13.6% on a non-diluted basis and 19.2% on a partially diluted basis assuming exercise by New Found Gold of all Warrants held.

The proceeds from the Private Placement will be used for exploration on the Company’s properties, the acquisition of additional properties, marketing, and general working capital.

All securities to be issued pursuant to the Private Placement will be subject to a four month hold period from the closing date under applicable securities laws in Canada.

Does ES have to go special vote for NFLD now too as he will fully diluted be 26% ? With NFG in at 20% they will be calling the shots on this huge land company and  heaven forbid if they find another fault IKE

LOL... so true IKE I was drinking water when I saw this, caught me at the right mood... Yean, he would have been buying up boardwalk and that whole street while I was at St Charles, grinning thinking I owned so much! Hey, it is a good play for him. But really, break it down, what is 4 mil to a billionaire.... That would be like 40 bucks to a person with 100k----- (I think I am right in the math ...more

ggnewmex1 It would be $400 to someone with $100,000. Basically the cost of a dinner for three in a nice restaurant. LOL.  Sprott and all are after the land packages with LAB and NFLD.  They are so far ahead with NFG and they know they will make a killing on it, they can leverage this to someday gobbling up any gold ore/ounces found at these 2 other properties.  SIC- This is ...more

  You are correct BlueChipper. SIC and NFG are the only ones to prove with drilling they have the goods. I would add that if SIC's Moosehead property was never drilled before and they hit intersections today like they have had over the past few years the stock would soar to $3 or $4 in no time.
