maybe Kevin Gallagher does not have all the shares he claims and now needs to buy in the open market to get up to his 39 million for the deal.

This is pretty much impossible. He got his shares as compensation so the company does know pretty well how much shares Gallagher got. And if he had sold some, we would have seen an insider filling. The volume today was simply caused by people reacting to the restructuring plans.
