Smart move by TLT management...

In the Newsrelease it is clearly stipulated that this is a Non-Brokered Private Placement.

With a Non-Brokered Private Placement, it is TLT(not a broker that doesn't care) that decide to who they are going to sells the shares. TLT has to hand-select each investors one by one, it is a time-consuming process, that could explain why it is done in tranches.

By doing a Non-Brokered Private Placement where TLT hand-select each investors(insider, friends...etc), the company(TLT) is making sure a big stack of shares will not be acquired by unfriendly hands.

It could be possible that at this point in time, having a big foot inside the FDA, and being so close to Pre-BTD and BTD approval, TLT decided that it was to the advantage of the company to do a Non-Brokered Private Placement.

Whatever the reason for now TLT has money to continue towards Pre-BTD and BTD approval.

I love my TLT shares.

Usage of 'First tranche' on top of the NR is an indication that other tranches are coming. How it could be otherwise. GL

Hopefully and maybe part of the plan is that by the time the second tranche is needed they will have some news in hand and they can raise money at a higher price. I do remember when they announced they were going to raise $10M that some were concerned with dilution with the stock at this price and they didn't mention anything about 'tranches' so it seems once again they are raising ...more

Normally, private placements are divided into tranches to cater to different investor preferences and the issuer's needs. In order to knock down the speculation TLT should have given us an estimated closure for the second tranche. It's common practice. Concur. At the least, please make the NRs more clear. This is a basic thing. Some folks don't like to hear those kinds of observations, but if one stops and thinks about it objectively... NRs that create uncertainty do not help the share price. And it's possible that it could keep someone from buying shares at times due to confusion or ambiguity.

Frankly, I see the "first tranche" statement in that news release being as simple, clear and concise as it could possibly get.  Will there be a second tranche?  What if they honestly don't know? Can they do a second tranche? Yes, anytime they want to (for quite a while out, actually) up to the remainder of 10 milliion, with absolutely no requirement to request further ...more

@meno, Good point re: maybe they didn't state the future of additional tranches because they simply don't know. I wouldn't necessarily see that as a positive, since it could mean they don't know if they can raise any additional funds, right? But at the same time, the blue sky interpretation could be that there are things in the works that might mean they don't need to obtain ...more

I would see this as an anthological flop if there is no plan for a 10ish second tranche filling in the very short term. Why announce a 10M goal then? Why leave the pp set for upcoming tranches when there are mid term events that could completely invalidate the current raise conditions? C'mon Roger! Give us an AH release showing us some magic!

I'm not replying to your post word for word. I read the current situation differently and respond to that.  What do you make of the 10M target? And the tranches? Do you expect more coming in the next few weeks?

The reason they set the PP at $10 million is that they had hoped to land an investor whose minimum investment amount was $10 million. They had to set it that high in case they did get a committment.from them.  How great the probability of landing this investor was when they applied for the PP is unknown but they needed to set it at 10 just in case. Sorry to say but I don't believe that a second tranche of financing for millions is coming anytime soon. All the long time holders here know that TLT is not that tight lipped so if there was a substatantial financing coming in the near future it would be reflected in the stock price.....which it is not.

I'm generally pessimistic about anything finance or management related with TLT but I do find it odd that this is the only NR that we have seen where a "first tranche" is mentioned in the TITLE. First always implies second, at least if you use common language norms. It makes me want to believe a second tranche is coming to keep the lights on a slight bit longer. But TLT......sigh.

Hey Dawg, I believe you are correct assuming that a second tranche is coming however I doubt it will be for the millions the kool aid gang is expecting. IMO the second tranche idea just means that they are open to take investors money at anytime and once they have enough they will announce it and label it as second tranche.

But aren't you supposed to follow some rules. Announce a pp, provide a deadline, announce closing and so forth. If they are open to anyone anytime that sounds like any company could just do that and keep it as an open source of funds in perpetuity

Yes,  kind of sad PP's are becoming their piggy bank offering multiple small placements.  No sign of Debt financing that their CFO mentioned earlier.  I can understand that RDW could be averse to a single investor with a 9 Million $ placement plus the warrants could potentially take control of the company..

Yes Infinity they do have an impressive list of patents however I will respectfully disagree that they can be monitized through a financial institution. What lenders need are tangible assets not intangible ones that currently have no revenue streams, rights etc.....hopefully one day those patents can be used as be used as collateral on debt financing but just not now. It may be wise to patiently wait...I agree it would be difficult to get IP-based financing pre-BTD stage; however, post-BTD would bring this company one significant step closer to commercialization/revenue generation.  Such a step forward would certainly help open the eyes of an alternative lender or investment arm of a bank...imo.  This company's IP also uniquely differentiates ...more

I am very sure Mr. Perraton will reply questions about the possibility of another tranche. They are not sitting idle when it comes to that. But will it become something substantial, that's the nut to crack. If they are talking to someone with deeper pockets than usual, perhaps that indeed requires a lot more time to get done? Frustrating, but what can you do but wait.

it'll be interesting to see what happens, although underwhelming it shows they have a funding plan, an idea forward, or so i'd think. just my take but who knows maybe they just don't have any interest in anyone taking 5-10 mil
