Isn't it just simply more likely that the stock fell to $3 cause the PP was there? and the "big fish circling" post title, that's misleading. You should be ashamed of yourself. It implies that there are majors looking to buy this, which when we have no news of, simply is untrue. In addition to the 'friends and JV Partner' PP with Teuton, I wonder if it is feasible to setup a 'friends and existing shareholders' PP for existing shareholders? Basic idea is company would obtain funds for drilling and shares would be purchased by existing shareholders who wants to increase their holding rather than short sellers ...more

most of the retail investors on this board don't meet the IROC guidelines for "qualified investor" and would be excluded from a PP.

there are lots of links specific to the regulatory guidelines that understand this better than me (admittedly an amatuer) but a PP requires I feel a prospectus exemption, which in turn delivers a diff risk profile, viz the need for a different or specific investor class. For a share or a unit to sell on an open market it must meet much more stiff disclosure and reporting thresholds, all to keep ...more

There is an existing shareholders exemption for participating in PP. It appears there is a limit of $15,000 per year and some other conditions. Interested shareholders should get in touch with Tudor. cool. Didn't know that re: existing shareholders exemption. Can you post a link to source, id like to read more. $10,000,000 / $15000 = approx 700 shareholders. What price would you pay? $4? I don't know if many here would buy $15,000 worth at $4 when they could just buy on the exchange sub $3? It's pretty easy to get q $15,000 position in TUD, and if 700 were lining up at $4, our SP ...more

One idea may be to have Tudor issue the first PP of every year to shareholders at the current market price. If additional PP are required later, market price may be higher after drilling results. The objectives are to reward shareholders by allowing them a chance to increase their shares. It also makes it more difficult for short sellers to cover without buying on the open market.

and how would it make it more difficult for short sellers? It would increase the float. Every private placement they do instantly devalues your shares. The hope, and I stress hope, is that they will use the $ for something that will increase value or move the prospect along, I.e. flow through (to drilling). Most PP in this space in the past has been to cover G&A to keep the company alive.

I don't think (and this is just my opinion) that the market would be kind if they didn't raise "smart $". A good portion of the reason why most are here for example is due to the ES placements. Dumb money is of not much value to a speculative tech or prospecting venture.

also, the thesis of save Canadian mining is sound from a logic point of view, you are all missing the other side of the argument, I.e. why was the tick test removed in Canada and modified in the USA? Well, it didn't provide an appreciable increase in liquidity.
