Very clear now for any one who wasn't sure!!! 


In accordance with the Arrangement, among other things:

  • Tudor Gold shareholders on record as of November 10, 2022, will receive approximately 0.251 of a Goldstorm Share for every one common share of Tudor Gold (a “Tudor Gold Share”) held; and
  • Goldstorm will acquire the six contiguous mineral properties located in the Golden Triangle Area in northwestern British Columbia in consideration for Goldstorm issuing 49,847,967 Goldstorm Shares to the Tudor Gold shareholders.

If your shares are segregated in a brokerage account, normal procedure is nothing.  The CUSIP system looks at the old TUD CUSIP number and swaps in the two new shareholdings.  It should be automatic.  That's likley the vast majority of holders.  Nothing required because nothing is happening except your company is being split in two. your cost base will b $0. Concurrent financing was at 0.26/share so expect it trade around there, possibly up iniitally until people start seeing the spinout shares in their accounts (most brokerages are slow to put them in).

It will be interesting to see where Tudor's share price goes. If the '' metals '' Spinoff ''. trades at around 26 cents will Tudor shares drop down into the 90 cent range immediately?? Or will it not drop until the spinout shares arrive.. Amk was trading about 27 cents before its spinout and promptly dropped down to the 11 /12 cent range and parked itself there. Its ...more

Firstly, only 1/4 of a goldstorm share per TUD share.   Say any drop ex-spinout will be based on that , not a full share. Drop SHOULD occure tomorrow as TUD will trade EX-Goldstorm spinout tomorrow.  I think the small bump up today is people buyin in for the GS shares. My guess is we drop 5 cents tomorrow everything else being equal Doesnt matter WHEN you see Goldstorm in account ...more

Mayday, mayday!  Just read the release from night of the 7th.  THEY CHANGED THE RULES AGAIN! VERY dissapointed in TUD management and legal counsel!!!!!! So shares of GS will still go to shareholders of record as of the 10th.  BUT THEY PUT IN SPECIAL SETTLEMENT RULES!!!!!!!!!!!!!   Anyone who buys shares on the 9th or 10th will still get the GS shares.  Conversely ...more

Nothing wrong about this, your broker have to close officially the transaction by nov/10, and all transaction made on the nov/10 have to be made in cash only for immediate confirmation.

whats wrong about it is they have made terrible dislosure on the mechanics for months now including what were, imho, serious mistakes/mistatements (some which they later corrected). On Nov 7th around 4pm, they said record was the 10th. NOTHING about special settlement.  Late that night they put out another NR.  And ONLY at the END of it did it specify special settlement rules.  ...more

They may lack on the business administrative side...not sure. But do we really care about that as they're not malignant in their activities....I'm more impressed with their aggressive judgement and costs of finding gold in ground....not one duster hole. I think Tudors management is doing a great job!  The regulatory issues to deal with a spin out is immense as you are at the mercy of the Courts, Securities Regulators, and way too many high priced lawyers and accountants.  They did all of this while raising funds in a really poor fundraising market and drilling how many miles worth of holes???? I couldnt of said it better brother....I just don't see Tudor double dipping with nothing to show for it. It bothers me enough to not invest additional money with American Creek...I think I'll go with a major natural gas producer instead....perfectly stated.

As a result of Tudor management finally putting out their spinoff game plan I bought 37,514 shares OF TUD in the last 2 days BY selling off AMK AND STINGER SHARES mainly due to their excessive management fees and to also make it harder for TUD shorters to play their game...... Why have we not had Rights offerings for shareholders?????

Fordster.....I feel the same way.  I have a pile of AMK and am underwater at present but refuse to average down with the management filling their pockets and doing nothing.  TUD has all my new investments.....and I will follow any of it's management team should they involve themselves in new ventures after this one.  Have always maintained good management is more important than ...more

You are very correct in Dino doing an amazing job.  He has weathered some big storms and has been able to keep dilution at a minimum.  I just went and read their last MD&A and wow!!!!!  The guy has and is making good deal after good deal to give value to shareholders.  A junior with almost perpetual cash flow from all the option deals is very very rare.  And.....he is ...more

daytraders never get shares ie if they are flat at end of day, theyre never shaeholder of record special settlement is used from time to time.  It would not be normal in these circustamnces.  It does cut both ways i.e. for buyers and sellers, but it is still out of the norm.
