Proxy vote question

I've just received a second set of proxies, both yellow and green. I duly trashed the green immediately and started to vote on the yellow when I noticed a question that I don't think was there for the first set of yellow proxy (maybe I'm wrong and just didn't notice the first time around):

"APPOINTMENT OF DELOITTE & TOUCHE LLP AS AUDITORS OF THE COMPANY FOR THE ENSUING YEAR AND AUTHORIZING THE DIRECTORS TO FIX THEIR REMUNERATION"

I have no problem with appointig Deloitte as the auditors but I do have problems with the governance structure of WND (I actually agree with Savitr on this) and I'd like it to be changed, even if the company will likely be sold shortly (one never know with Jeff if he'll find a reason not to sell if he's reelected).  So my question is this: can I vote "for all nominess" of the current WND board but vote "NO" on the second question without this having some kind of indirect impact on or effectively nullifying my vote for the current board? I guess my question is what happens if the current WND board wins the first vote but loses the second on compensation, unlikely I know but maybe many people with react like me? How would the company function as no one apparently could decide on compensation (not sure if that would be the case).

I believe what is meant is authorizing the Directors to fix the renumeration of the Auditors. Has nothing to do with the governance structure of WND.

The compensation is for Deloitte, not the directors!
