Oof, look at DMS website. Looks like from the 90's  with 10's of different services and most fulfilled by humans and not tech. Will give them benefit of the doubt!

Theoretically, that's where the value and synergies lie. Long term, integrate customers to DMDS platform. The key will be customer retention...an important thing on that front will be retaining DMS execs who have key customer relationships.

Rough notes of conference call: 1) Will only pay full purchase price if revs reach pre-pandemic levels.  The payments over 3 years are based on revenue targets, as a percentage of 2019 revenue levels (6.3 mil USD).  Payouts will be on a sliding scale of $0, $500k, and $1 mil depending on which target is hit.  They not revs were hit hard by Covid, as DMS is a pure advertising play.& ...more

No problem tannin. To me, the 2 big questions here will be the following: 1) How much will DMS revs recover vs 2020 levels. 2) How many costs can be cut long term in the combined company, to create the best operating profit. At first glance, the takeout deal seems to have pretty good terms for YOO, where basically a full takeover price in 3 years would indicate a successful takeover story. The ...more

This DMS is not a public company. I would have liked to see their financial statements for the last 5 years. Its seems like a company that was not 100% in competition with YOO, so we talk about expanding the offering. As per other post form Noodle, the main goal is to cut on overheads. YOO keeps the president as their VP Digital Media Services (for now), but i guess they will have to cut on some ...more
