How bad

Could someone please tell me how bad this deal is and what it all means for the dumb ####  like me that has 165000 shares in this. What is the conversion on shares and what is the new company . As for as can tell its 1 to 100.  That can't be because Cardinal is trading at 14. 47. Is Virginia hills a new company????  Someone please in lighten me and put me out of my misery !!  Lol
